PREMIA PROPERTIES  (former PASAL) engaged YLP as legal adviser for its investment in a portfolio of three real estate properties.  Our team conducted legal due diligence of the target properties; advised on the structure of the transaction, consisting of the purchase of part of the properties coupled with a contribution in kind of part of the properties in the form of share capital increase in the purchaser’s company; drafted binding preliminary agreements and other transaction documents.

The transaction was time intensive and involved challenging negotiations, as well as swift solutions to structural issues.
